Terms of Service

These Terms of Service (the "Terms") govern your use of IBC Tool, a budgeting and tracking tool for whole-life insurance policies operated by {{LEGAL_ENTITY_NAME}} ("we," "us"). By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the service.

1. What IBC Tool is — and isn't

IBC Tool helps you record the state of your whole-life insurance policies, track loans against them, allocate available loan amount across budget categories, and route monthly contributions to Paid-Up Additions or loan repayment. It is a tool. It is not a financial advisor.

Nothing in IBC Tool is financial, insurance, tax, or legal advice. Our content, our calculations, and our suggested allocations are educational and informational. Decisions about your policies, your loans, your taxes, and your finances are yours to make in consultation with a qualified professional who knows your situation. Where IBC Tool projects a number — available loan amount, dividend impact, payoff date, anything else — that number is a model, not a promise. Carriers, illustrations, and your own circumstances are the authoritative source for what your policy will actually do.

You are responsible for keeping your login credentials confidential and for everything that happens under your account. Tell us promptly if you suspect unauthorized access. Provide accurate information when you register, and keep it accurate. One person, one account; do not share an account between people.

You keep ownership of the policy data, snapshots, loans, budgets, and documents you upload ("your content"). You grant us a non-exclusive, worldwide, royalty-free license to host, store, display, transmit, and process your content as needed to run the service for you, to keep it secure, to back it up, and to fix problems you ask us to fix. The license ends when you delete the content or close your account, except where we are required to keep something to comply with the law or our backup retention rolls forward as described in our Data Retention Policy.

6. Third-party services

IBC Tool can connect to outside financial-data and budgeting services when you opt in. Your use of those services is governed by their own terms and privacy policies. We are not responsible for the behavior of third-party services or for outages, errors, or data loss originating with them. If a third-party service changes the way it works in a way that breaks an integration, we will do our best to keep the service useful but we don't guarantee continuity of any specific integration.

7. Fees and billing

IBC Tool may offer free and paid plans. Paid-plan pricing, billing cycles, refund policy, and cancellation behavior will be described on the pricing page and in any subscription agreement at the time you subscribe. While the product is in pre-launch and waitlist phases, access may be free. If we move you to a paid plan, we will notify you before any charge takes effect.

8. Intellectual property

IBC Tool, its software, its design, its visual identity, and the documentation that accompanies it are the property of {{LEGAL_ENTITY_NAME}} or our licensors, protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the service for its intended purpose. You may not copy, modify, or create derivative works of the service except as permitted by law or by us in writing.

9. Termination

You can close your account at any time from the settings page in the app; the flow asks you to retype your email address and re-enter your current password before deleting your data. If you have lost access to the settings page, email concierge@ibctool.app from your account address and we will run the deletion on your behalf within thirty days. We can suspend or close your account if you breach these Terms, if your use puts the service or other users at risk, if a payment fails on a paid plan, or if we discontinue the service. We will give you reasonable notice and a chance to export your data unless we cannot for security or legal reasons. Sections of these Terms that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and governing law — survive termination.

10. Disclaimers

The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. We do not warrant that the calculations the service produces are correct, that the data integrations are complete, or that the service will fit your specific situation. You use the service at your own risk and your own discretion.

11. Limitation of liability

To the fullest extent permitted by law, neither we nor our affiliates, officers, employees, or agents will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, loss of policy value, missed loan repayments, or business interruption — arising out of or related to your use of the service, even if we knew or should have known the damages were possible.

Our total cumulative liability for all claims arising out of or related to the service is limited to the greater of (a) the amount you paid us for the service in the twelve months immediately preceding the event that gave rise to the claim, or (b) one hundred US dollars. Some jurisdictions do not allow the exclusion or limitation of certain damages; those exclusions and limitations apply to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from claims, damages, costs, and expenses (including reasonable legal fees) arising from (a) your use of the service in breach of these Terms, (b) your content, or (c) your violation of any law or third-party right. We may assume the defense of any such claim, in which case you agree to cooperate with us at our expense.

13. Governing law and disputes

These Terms are governed by the laws of the State of {{GOVERNING_LAW_STATE}}, without regard to its conflict-of-laws rules. Disputes will be resolved in the state and federal courts located in {{GOVERNING_LAW_STATE}}, and you consent to that venue and jurisdiction. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction to protect intellectual property or confidentiality.

14. Changes to these Terms

We may update these Terms as the product changes or as the legal environment changes. We will revise the "Last updated" date at the top of this page and, for material changes, give you notice by email and in-app notice. Continued use of the service after a material change means you accept the updated Terms. If you don't accept them, your remedy is to stop using the service and close your account.
